Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Finansee website at finansee.lt and the Finansee IFRS 16 calculator and related finance tools (together, the "Service"). By creating a Finansee account, signing in, or otherwise using the Service, you agree to these Terms.
If you do not agree to these Terms, please do not use the Service.
1. About these Terms
These Terms are a legal agreement between you ("you," "your") and Finansee. By "Finansee," "we," "us" or "our," we mean MB RGD solutions, a Lithuanian small partnership (mažoji bendrija), legal entity code 308006606, operating the Finansee service under the Finansee name. They explain what the Service is, the rules for using it, the rights you keep, the rights we keep, and what each of us can and cannot expect from the other.
These Terms should be read together with:
- the Financial and Accounting Disclaimer, which sets out important information about what Finansee is and is not;
- the Privacy Policy, which explains how we handle personal data;
- the Cookie Notice, which explains the cookies and similar technologies we use; and
- the Subprocessors page, which lists the third-party service providers we use.
If you have signed a separate written agreement with Finansee (for example a Subscription Agreement or a Data Processing Agreement), the terms of that signed agreement apply between you and Finansee, and prevail over these Terms to the extent of any inconsistency.
2. The Finansee service
Finansee is a calculation and workflow support tool for finance, accounting and treasury professionals. The Service includes:
- a public website that describes Finansee and the tools we offer;
- a protected web application that allows registered users to create, save, load, share and delete IFRS 16 lease portfolios;
- server-side IFRS 16 calculations performed on data and assumptions you enter;
- team sharing, which allows a portfolio owner to grant access to a saved portfolio to other invited Finansee users; and
- Excel exports of journal entries, portfolio summaries, lease-event registers and similar working reports.
We may update, improve, add, remove or change features, screens, defaults, calculation logic and supported scenarios over time — see sections 14 and 15 below.
The Service does not include accounting, audit, tax, legal or investment advice. See section 9 below and the Financial and Accounting Disclaimer.
3. Eligibility and business use
You may use Finansee only if you are able to enter into a binding agreement under the laws of the jurisdiction in which you reside.
Finansee is designed and intended for use by businesses and by finance, accounting, audit, tax and treasury professionals acting in a professional capacity. By using the Service, you confirm that:
- you are using the Service for business or professional purposes, or that the Service is otherwise appropriate for the use you are making of it;
- you have the authority to bind any organisation on whose behalf you create an account or use the Service;
- you will comply with all laws, rules and regulations that apply to your use of the Service; and
- you are not located in a jurisdiction, and you are not on any list, that would make your use of the Service unlawful for you or for us.
If you are using the Service on behalf of an organisation, references to "you" in these Terms include that organisation.
4. User accounts, registration and password recovery
To use most of the Service, you need to create a Finansee account.
Registration. When you register, we ask for an email address, a name, and a password. You may also choose to provide the name of the company you work for. You must provide accurate information and keep it up to date.
Account security. You are responsible for keeping your password confidential and for all activity that takes place under your account. We recommend choosing a strong, unique password and not sharing it. If you believe your account has been accessed without your permission, please contact us at the address in section 23.
Password recovery. If you forget your password, you can request a password reset. We will send a time-limited reset link to the email address associated with your account. Reset links and reset emails are transactional communications about your account; they are not marketing emails.
Personal accounts and access. Your account is personal to the registered user. You must not share your password or allow another person to use your credentials. If more than one person in your organisation needs access to Finansee, each person should use their own account or authorised access provided through the Service. You may not transfer your account to another person without our prior agreement.
5. User responsibilities
When you use Finansee, you are responsible for:
- the accuracy and completeness of the information you enter, including all lease data, payment schedules, modifications, terminations, discount rates and incremental borrowing rates;
- the appropriateness of the accounting policies, judgements and assumptions you apply to your lease portfolio;
- the use you make of any output the Service generates from your inputs, including how you use Excel exports and other reports in your own financial reporting, audit, tax or other processes;
- the security of your account, your password and any device or network through which you access the Service;
- making sure you have the legal right to enter any information you put into Finansee, including any personal data relating to third parties; and
- complying with these Terms, the Financial and Accounting Disclaimer, the Privacy Policy and any other applicable Finansee policies.
6. Customer data and portfolio content
We refer to the information you enter into Finansee — including lease portfolios, company names, lease names, asset classes, payment schedules, dates, discount rates, modifications, terminations, notes and the calculation outputs derived from your inputs — as "your content."
You own your content. As between you and Finansee, you retain all rights to your content. Finansee does not claim ownership of the data or accounting judgements you enter.
Permission to operate the Service. You grant Finansee a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, calculate, display, back up and otherwise use your content solely for the purpose of providing the Service to you, maintaining, securing, troubleshooting and supporting the Service, generating outputs you request, and meeting our legal obligations. This permission does not allow Finansee to disclose your content to other customers, or to use your content for any purpose other than as described in these Terms and the Privacy Policy. This permission lasts as long as your content is in the Service and for a reasonable period afterwards to allow us to operate and protect the Service in line with these Terms and the Privacy Policy.
Please do not enter sensitive personal data. Finansee is not designed to process special categories of personal data within the meaning of EU data-protection law (for example data about health, religion, ethnicity, or trade-union membership). You should not enter that kind of information into Finansee. You should also avoid entering personal data about third parties that you are not entitled to process.
7. Cloud save, load and delete functionality
The Service allows you to save lease portfolios to your Finansee account (cloud storage), load them back later, share access with other Finansee users, and delete them.
Save. When you save a portfolio, the information you have entered is stored in the Finansee database under your account. You are the portfolio owner.
Load. When you load a portfolio, the Service retrieves the saved data and shows it in the calculator. You can load any portfolio saved under your own account, and any portfolio that another user has shared with you while that access remains in place.
Team sharing. Finansee allows you to share a saved portfolio with other Finansee users. You may invite or grant access to users you choose. The person granting access (the portfolio owner) is responsible for ensuring that they are allowed to share the portfolio content with the invited users, that the invited users are entitled to receive it, and that the sharing complies with these Terms, any policy of your organisation, and applicable law. Users with access to a shared portfolio (including invited users) must use the shared content only for authorised business purposes consistent with these Terms, and must not redistribute the content or grant further access to other people without the portfolio owner's permission.
Removing access. A portfolio owner may remove a user's access to a shared portfolio at any time. Removing one user's access does not delete the portfolio, and does not remove access for other users who still have access. Finansee may restrict, suspend or remove sharing functionality, or remove a specific user's access, where we reasonably consider it necessary for security reasons, to prevent abuse, to comply with the law, or to operate the Service.
Delete. When the portfolio owner deletes a saved portfolio, the saved cloud copy is removed and is no longer available to any user who previously had access to it, including invited users. Deleting a saved portfolio does not delete the Finansee account of the owner or of any invited user, and does not delete copies of the data that anyone has already exported to Excel, sent by email, or stored elsewhere. To close your Finansee account, please contact us at the address in section 23.
Personal data may continue to exist for a limited period in our hosting provider's backups after it has been deleted from the live service, in line with that provider's backup retention. We do not restore deleted content from backups except for disaster-recovery purposes. The Privacy Policy explains how we handle deletion in more detail.
8. Excel exports and reports
Finansee allows you to generate Excel exports of journal entries, portfolio summaries, lease-event registers and similar working reports.
Excel exports and other reports are working files generated from the data and assumptions you have entered. They are not official financial statements, audited financial information, statutory or regulatory filings, or statements of opinion from Finansee on the correctness of your accounting treatment.
Once you download an export, copies of the file sit on your device and on any further locations you choose to send it; those copies are outside Finansee's control. You are responsible for how exported files are stored, who you share them with, and what you use them for.
9. No professional advice and relationship with the Financial and Accounting Disclaimer
Finansee is a calculation and workflow support tool. It does not provide:
- accounting advice;
- audit services or audit opinions;
- tax advice;
- legal advice;
- investment advice; or
- any other professional or regulated advice.
Nothing that Finansee produces — calculation outputs, journal entries, reporting tables, Excel exports or any other content — constitutes professional advice, an audit opinion, or a regulatory filing.
The Financial and Accounting Disclaimer describes the limits of the Service in more detail, including the IFRS 16 judgements Finansee does not make, the responsibilities you retain as the user, and our recommendation that you review Finansee outputs with qualified professionals before relying on them for financial reporting, audit, tax, regulatory or other consequential purposes.
The Financial and Accounting Disclaimer is incorporated into these Terms by reference. You should read it.
10. Acceptable use restrictions
You agree not to, and not to allow any other person to:
- use the Service for any unlawful purpose, in violation of any law or regulation that applies to you, or in a way that infringes the rights of any third party;
- access or use the Service to build, evaluate or benchmark a competing product, a competing calculator, a competing calculation engine or a competing service;
- reverse engineer, decompile, disassemble, derive the source code of, or otherwise attempt to reconstruct or copy any part of the Service, the Finansee software, the calculation logic, the report structures, the export templates or the underlying logic, except for your permitted use of Excel exports generated from your own content;
- scrape, crawl, harvest, extract, copy, mirror, frame, clone or replicate any part of the Service or its content, including by automated means;
- republish, redistribute, sublicense, sell, rent, lease, or otherwise commercialise the Service or any part of it without our prior written agreement;
- bypass, disable, interfere with or circumvent any security feature, authentication mechanism, rate limit, access control, monitoring tool, or any feature that prevents or restricts access to or use of the Service;
- conduct any security testing (including penetration testing, vulnerability scanning or red-team exercises) against the Service without our prior written permission;
- introduce viruses, worms, malware, ransomware or other malicious code into the Service;
- use the Service in a way that imposes an unreasonable or disproportionate load on the Service or its infrastructure, or that disrupts the Service for other users;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- enter personal data, special category data, confidential information, or other content that you are not entitled to enter into the Service;
- publish or share benchmark results, performance comparisons, audit reports or other evaluations of the Service without our prior written permission, except where applicable law prevents us from restricting such activity; or
- use the Service in a manner that is fraudulent, deceptive or abusive.
We may suspend or terminate your access to the Service for a breach of this section, with or without notice, as described in section 17.
11. Intellectual property and ownership of Finansee
The Service — including the Finansee website, the Finansee application, the calculation logic, the report structures, the Excel export templates, the user interface, the underlying software, the documentation, the look and feel, and all related know-how — is owned by Finansee and our licensors. All rights are reserved.
These Terms do not transfer to you any right, title or interest in the Service, the Finansee software, the calculation logic, the report structures, the templates, the exports or the underlying logic, except for the limited right to use the Service in accordance with these Terms.
Finansee, the Finansee name, the Finansee logo and any related marks are trademarks of Finansee. You may not use any Finansee trademark without our prior written permission, except to refer to the Service in a factually accurate way.
Feedback you choose to share with us about the Service — including suggestions, comments and ideas — may be used by us without restriction and without owing you anything in return. You are not obliged to provide feedback.
12. User ownership of user-entered data
As stated in section 6, you retain all rights to your content. These Terms do not transfer ownership of your content to Finansee. The limited permission you grant Finansee under section 6 is for the purpose of operating the Service for you, supporting you, securing the Service, and meeting our legal obligations.
When you stop using the Service, the Privacy Policy and section 7 explain how your content is handled, including the cloud-portfolio delete mechanic, account closure and backup retention.
13. Privacy, cookies and subprocessors
Our Privacy Policy describes the personal data we collect, why we process it, the lawful basis for processing under the GDPR, how long we keep it, who we share it with, and your rights as a data subject.
Our Cookie Notice describes the cookies and similar technologies we use, including a description of Cloudflare Web Analytics.
Our Subprocessors page lists the main third-party service providers we use to operate, secure, host and analyse the Service.
If you are a business customer and have signed a separate Data Processing Agreement with Finansee, that agreement governs the processing of personal data you provide as part of your use of Finansee.
14. Service availability and changes to the Service
We may add, remove or change features, screens, defaults, behaviour, supported scenarios and dependencies as we update and improve the Service. We may also take the Service offline for maintenance, security work, or for other operational reasons.
We do not guarantee that the Service will be available without interruption, that it will be free of errors, or that it will meet any specific uptime, performance or response-time target, unless we have agreed otherwise with you in a separate signed agreement.
Where we make material changes to the Service, we will use reasonable efforts to communicate them through the Service or to the email address associated with your account.
15. Changes to calculation logic
Finansee may update, change or improve the calculation logic, defaults, screens, exports and other aspects of the Service over time. A change to the calculation logic in a later version of the Service may produce different outputs from a calculation you ran in an earlier version.
If you rely on a Finansee output for any purpose, you are responsible for keeping your own records of the inputs, assumptions and version of the Service that produced that output. The Financial and Accounting Disclaimer explains this in more detail.
16. Plans, subscriptions and fees
Finansee may offer a limited free version, paid subscription plans, and separately agreed customer arrangements under written agreements, order forms or other contractual documents.
- Limited free version. A limited free version of the Service may be available, subject to these Terms and to any usage limits, feature limits or other conditions we apply to it.
- Paid subscription plans. Finansee may offer paid subscription plans that you can order on a subscription basis. Where you order a paid plan, the applicable pricing, plan scope, billing cycle, renewal and cancellation arrangements apply to that plan in addition to these Terms.
- Separately agreed arrangements. A customer may also enter into a separate written agreement with MB RGD solutions for the Finansee service, with individually agreed monthly fees and terms.
We will make the applicable pricing and plan terms available to you before a paid feature becomes active for you, and we will not charge you for the Service without your agreement.
Where your use of the Service is governed by a separate written agreement, subscription agreement, order form or other contractual document between you and MB RGD solutions, the terms of that separate agreement prevail over these Terms to the extent of any inconsistency.
17. Suspension and termination
By you. You may stop using the Service at any time. If you would like to close your account, please contact us at the address in section 23.
By us. We may suspend or terminate your access to the Service, with or without notice, if:
- you breach these Terms, the Financial and Accounting Disclaimer or any other applicable Finansee policy;
- we reasonably believe that your use of the Service poses a security risk, a legal risk, or a risk of harm to Finansee, to other users, or to any third party;
- continued provision of the Service to you would, in our reasonable assessment, breach a law or regulation that applies to us; or
- we discontinue the Service or any part of the Service.
Where it is reasonable and lawful for us to do so, we will give you notice before suspension or termination, and an opportunity to address the underlying issue.
Effect of termination. When your access is terminated, you lose access to the Service and to any content stored in your Finansee account, subject to the Privacy Policy and the cloud-portfolio mechanic described in section 7. Sections of these Terms that by their nature should survive termination — including sections 6 (limited licence), 9 (no professional advice), 10 (acceptable use), 11 (intellectual property), 12 (user ownership), 18 (disclaimers), 19 (limitation of liability), 20 (indemnity), 21 (governing law) and 23 (contact) — survive termination.
18. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, Finansee disclaims all warranties, conditions and representations of any kind, whether express, implied or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and warranties arising from course of dealing or usage of trade.
Finansee does not warrant or represent that:
- the Service will meet your specific requirements;
- the Service is compliant with IFRS 16 or any other accounting standard as applied to your particular facts;
- the Service is suitable for any specific financial reporting framework, audit, tax filing, regulatory submission or other consequential purpose;
- any calculation output will be free of errors, accurate for your facts, or accepted by your auditor, your tax authority, your regulator or any other third party;
- the Service will be uninterrupted, secure or free of bugs, defects or other harmful components; or
- any defects in the Service will be corrected.
Nothing in these Terms excludes or limits any warranty, representation or liability that cannot be excluded or limited under applicable law.
19. Limitation of liability
To the maximum extent permitted by applicable law:
(a) Finansee, our affiliates, our officers, our employees and our agents shall not be liable to you or to any third party for any indirect, incidental, special, consequential, exemplary or punitive damages of any kind, including but not limited to lost profits, lost revenue, lost savings, lost business opportunity, loss of goodwill, loss of data, or the cost of substitute services, even if Finansee has been advised of the possibility of such damages.
(b) Our total aggregate liability to you arising out of or in connection with your use of the Service, these Terms, the Financial and Accounting Disclaimer or any other Finansee policy, whether in contract, tort (including negligence) or otherwise, is limited as follows:
- if you have paid fees to Finansee under a paid subscription plan, order form, separate written agreement or other paid arrangement, our total aggregate liability is limited to the fees actually paid by you to Finansee for the Service in the one (1) month immediately preceding the event giving rise to the claim;
- for users who have not paid fees to Finansee for the Service, including users of the limited free version, Finansee's liability is excluded to the maximum extent permitted by applicable law. Where applicable law does not allow liability to be fully excluded, Finansee's total aggregate liability is limited to the lowest amount permitted by applicable law.
(c) The limits in this section 19 apply in the aggregate to all claims and causes of action arising out of these Terms or your use of the Service. They do not, and are not intended to, exclude or limit any liability that cannot be excluded or limited under applicable law — including, where applicable, liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or for any other liability that cannot lawfully be limited.
(d) Without limiting the generality of the above, Finansee does not accept liability for, and the limitations in this section 19 apply in full to claims arising from:
- the accuracy, completeness or appropriateness of calculation outputs, given that outputs depend entirely on the data and assumptions you enter;
- the acceptance or rejection of any Finansee output by any auditor, tax authority, regulator or other third party;
- any IFRS 16 accounting judgement, tax treatment or regulatory outcome reached by you or anyone using Finansee outputs;
- any data loss, downtime, performance issue, or service unavailability;
- any third-party service provider's act, omission or outage, including any service provider listed on the Subprocessors page; or
- any consequence of your reliance on Finansee as the sole basis for a financial statement, audit conclusion, tax filing, investment decision, regulatory filing or management decision.
(e) The disclaimers in section 18 and the limitations in this section 19 form an essential part of the bargain between you and Finansee, and apply even if any limited remedy fails of its essential purpose.
20. Indemnity
You agree to indemnify, defend and hold harmless Finansee, our affiliates, our officers, our employees and our agents from and against any third-party claim, action, demand, loss, liability, damage, fine, penalty, cost or expense (including reasonable legal fees) arising out of or related to:
- your breach of these Terms, the Financial and Accounting Disclaimer or any other applicable Finansee policy;
- your misuse of the Service;
- the content you enter into the Service, including any personal data of third parties you put into Finansee in breach of any law or contractual obligation;
- your use of any Finansee output in a way that breaches these Terms, the Financial and Accounting Disclaimer, applicable law, or the rights of any third party; and
- your violation of any law or any right of any third party in connection with your use of the Service.
This indemnity does not apply to the extent a claim arises from Finansee's gross negligence or wilful misconduct.
21. Governing law and venue
These Terms, the Service, and any non-contractual obligations arising out of or in connection with them, are governed by the laws of the Republic of Lithuania, without regard to its conflict-of-laws rules.
The courts of Vilnius, Lithuania have exclusive jurisdiction over any dispute, claim or proceeding arising out of or in connection with these Terms or the Service.
Nothing in this section affects any non-waivable right you may have under the mandatory laws of the country in which you reside.
22. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page shows when the most recent changes were made.
Where the changes are material, we will provide additional notice — for example through a notice in the Finansee application or by email to the address associated with your account — before they take effect. If you continue to use the Service after the changes take effect, you are deemed to have accepted the updated Terms. If you do not accept the updated Terms, you should stop using the Service before the changes take effect.
Earlier versions of these Terms are available on request.
